How it works

A disciplined path from capital to completed sale.

The operating model is designed around documented acquisitions, senior financing, active renovation management, transparent reporting, and a defined cash-allocation priority.

Proposed lifecycle

Six stages. Clear accountability at each one.

Final approvals, controls, and decision rights will be set in the governing and offering documents.

01

Investor admission

Eligible investors review definitive documents and complete the approved subscription process.

02

Opportunity review

Jeff presents basis, scope, resale support, financing, timing, and downside considerations.

03

Property closing

Fund equity and senior hard-money proceeds capitalize the property-owning entity.

04

Renovation

Work, budget, lender draws, inspections, schedule, and changes are monitored.

05

Sale

The completed property is listed and sold subject to market conditions.

06

Cash allocation

Costs and senior debt are paid before cash returns to the fund and may be distributed.

Who does what

Operator execution with fund-level oversight.

Jeff Harris is expected to lead sourcing, renovation, and disposition. The final manager structure, approval rights, key-person provisions, reporting duties, and conflicts policy remain subject to counsel and operating decisions.

Jeff Harris

Property operator

Opportunity sourcing, preliminary underwriting, renovation oversight, vendor coordination, listing, and sale execution.

Fund manager

Capital and governance

Final approvals, cash controls, investor reporting, compliance, accounting, and distribution administration.

Distribution priority

A sale price is not an investor distribution.

Sale proceeds must first move through transaction costs and contractual obligations. Exact waterfalls remain to be drafted.

01

Sale and closing costs

Brokerage, transfer, legal, and other disposition expenses.

02

Senior debt

Loan principal, interest, points, exit fees, and lender charges.

03

Project obligations

Unpaid renovation, carrying, tax, insurance, and property expenses.

04

Fund cash

Remaining cash returns to the property entity and fund.

05

Fund distributions

Only then may distributions occur under the final governing documents.

No distribution date, redemption event, return, or return of principal is guaranteed.
